1.0    INTRODUCTION 

These Policies & Procedures have been prepared as a guide to enhance the experience of Elamant members. All Elamant members will be required to comply, and are expected to comply, with each of the following Policies and Procedures. Failure to comply with these Policies & Procedures may result in immediate termination of membership and forfeiture of any benefits accrued.  

 

ACCEPTANCE OF TERMS 

BY SELECTING “I AGREE” BELOW AND ACCESSING THE ELAMANT PORTAL, YOU KNOWINGLY AND VOLUNTARILY AGREE TO ACCEPT AND ABIDE BY THE ELAMANT (“ELAMANT”) POLICIES & PROCEDURES. 

The services that Elamant and its affiliates provide to you through its member websites https://elamant.com or https://portal.elamant.com, related mobile application(s), and related services (collectively, the “Elamant Portal” or “Portal”) are subject to the following express Policies & Procedures. Elamant reserves the right to update these Policies & Procedures at any time without prior notice to you. The most current version of these Policies & Procedures can be reviewed by clicking on the “Policies & Procedures” hypertext link located at the bottom footer of our web page located at https://elamant.com or anytime at this specific URL https://elamant.com/legal/policies-and-procedures/.    

 

2.0    DEFINITIONS AND TERMS  

Any dispute, misunderstanding, confusion, or misinterpretation that arises concerning any material or content provided by Elamant (or in any of the translated documents) will be determined by Elamant in the officially recognized English language, in its sole and absolute discretion, including without limitation the items addressed below: 

      • Account – Refers to the result of a registration process of creating an Elamant Member user account. 
      • Actual Hours – Refers to the number of hours actually worked and recorded by each Consultant during a Performance Period, which shall not exceed the number of Allocated Hours for such Performance Period. 
      • Allocated Hours – The total number of hours allotted for each Consultant to provide service work and claim in any given Performance Period 
      • Beta Services – A feature of the Elamant Pilot Program that invites Premium Members to use, on a trial basis, pre-release or beta features that are in development and not yet available to all. 
      • Consultant – A Member that is a qualified Founder and meets the Service Level requirements of a Consultant and earns an hourly rate of pay based on the approved services provided by the Consultant to Elamant in accordance with the Independent Contractor Agreement. 
      • Elamant Consultant Program – A benefit of the Elamant membership portal that allows qualified members to provide services to Elamant as an independent contractor in accordance with the terms and conditions of the Independent Contractor Agreement. 
      • Elamant Portal – The software that allows Member access to all the various services that Elamant and its affiliates provide through its member websites https://elamant.com or https://portal.elamant.com, related mobile application(s), and related services which are collectively defined as the “Elamant Portal”. 
      • EWallet – This is the account to which all approved hourly service fees and bonuses are deposited. This account is made up of two (2) parts: “Approved” status and “Pending” status. The funds in this account are non-transferable to any other member account. E-wallet funds may be withdrawn weekly to the Elamant Crypto Wallet or to the Elamant Paycard (if applicable).   
      • Founder – Any Premium Member that has made a minimum of three (3) Premium membership Personal Referrals. 
      • Hourly Rate – An amount payable to each Consultant for providing at least one recognized hour of support, education, online or offline training, or other beneficial services to Elamant Team Members. Elamant determines the value of the hourly rate based on the Consultant’s experience, workload, expertise, and Service Level. The hourly rate ranges begin at $20 USD per hour. 
      • KYC – Know Your Customer (KYC) is an aspect of due diligence that deals with the precise identification of customers. It may involve submitting personal information like a national ID, passport, proof of residence, and other information for the purpose of validating customer identity. 
      • Legacy Customer – Any Elamant Member (whether active or inactiveat the time of system transition 15 April 2021. This does NOT apply to a terminated Member. 
      • Legal Age – The age in which a person enters into full adult legal rights and responsibilities in the country of jurisdiction (including the capacity to enter into a contract which is enforceable by the other party), for damages or negligence or intentional wrongs without a parent being liable, and for punishment as an adult for a crime. 
      • Member –Any person or individual (18 years of age and older) who has successfully completed the registration process in the Elamant Portal is considered an Elamant Member.
      • Membership Cycle – One (1) complete Membership Cycle is equivalent to 28 consecutive calendar days. A membership may be purchased in either one (1) cycle, three (3) cycles, or thirteen (13) (treated by Elamant as one (1) year) cycle increments.  
      • Membership Extension Credits – If a member was active greater than 28 days at the time of system transition, all days in excess of 28 days are converted into Legacy Wallet Credits. 
      • Payment Options – Members can pay for their membership with a Credit/Debit card, Bitcoin (BTC), or Premium Code (P-Code). 
      • Performance Period – The “Performance Period” is a calendar week from Sunday to Saturday, beginning on Sunday at 00:00 am South Africa Standard Time (Server Time) and ending Saturday at 11:59 pm South Africa Standard Time (Server Time). 
      • Personal Referral – A Member who was personally enrolled as a Member by a “Sponsor.” 
      • Premium Code – An encrypted, unique digital code that is used for the purpose of activating or renewing a membership.  The Premium Code (or P-Code) will extend a membership for 28 days of Premium membership. The customer will have access to all Premium membership benefits. This code may be purchased directly from the Company using one of the approved Payment Options or from the EWallet. 
      • Service Level – The rank or position at which the Consultant qualifies during any given Performance Period. 
      • Server Time – South Africa Standard Time (SAST) (GMT+2) is the official time zone that the Company software and system operate in. 
      • Sponsor – A Member who has made at least one Personal Referral 
      • System Transition – Refers to the date of 15 April, 2021 when the Elamant Portal transitioned to planned system maintenance.
      • Team – A group of Members associated with each individual Personal Referral consisting of any and all Team Members of all such Personal Referrals. Each Personal Referral will begin (and be treated as) a new and separate team.
      • Team Members – The total number of Members on the Team of the Personal Referral. This definition includes all MembersConsultants, and Sponsors beginning with and originating from the initial Personal Referral. 

 

3.0    ACCOUNT TERMS 

 

3.1    To access and use the Elamant Portal, you must register for a Elamant account (“Account”) by providing your full legal name, current address, phone number, a valid email address, and any other information indicated as required. Elamant may reject your application for an Account, or cancel an existing Account, for any reason, in our sole discretion. 

3.2    You acknowledge that Elamant will use the email address you provide to verify your account prior to opening an Account. 

3.3    You acknowledge that Elamant will use the email address you provide on opening an Account or as updated by you from time to time as the primary method for communication with you. 

3.4    You acknowledge that Elamant may require you to undergo a third party KYC verification process for access to the Portal, and prior to access and use of the Elamant Ewallet, Elamant Crypto Wallet, or any other financial transaction.  

3.5    You must at least be the age of: (i) 18 years, or (ii) at least the Legal Age in the jurisdiction where you reside and from which you use the services to open an Account. 

3.6    You confirm that you are receiving access to the Elamant Portal provided by Elamant for the purposes of personal, household or family use in alignment with the terms and conditions of use. 

3.7    You are responsible for keeping your password secure. Elamant cannot and will not be liable for any loss or damage from your failure to maintain the security of your Account and password. 

3.8    A breach or violation of any term in the Terms of Agreement, as determined in the sole discretion of Elamant, may result in an immediate termination of your Services. 

 

4.0   MEMBERSHIP 

Any person or individual (18 years of age and older) who has successfully completed the registration process in the Elamant Portal is considered an Elamant Member  and can select one of three membership tiers: basic, standard, or premium. 

 

4.1     Basic Member

Our Basic membership is for customers who have subscribed to the basic level of Elamant Membership and paid the full $29.95 subscription fee, and is best suited for casual users seeking a learning culture for personal development.  These benefits include:

4.1.1    Learning Center Basic which includes access to industry leading hard skill courses. 

4.1.2   Elamant Crypto Wallet Basic includes exclusive access to our crypto wallet that allows members to store, transfer to internal Elamant Crypto wallet users for less fees than Blockchain, external account deposits, wire transfer withdrawals, send crypto to friend or family member’s email; exchange between BTC, ETH, USDC, EUR, and USD. 

4.1.3    Elamant PayCard (plus $69.95 enrollment and delivery fee) includes access to the international Elamant debit card for members and their family (subject to geographic availability). 

4.1.4    Discounted Training Events includes discounted access to Elamant and/or third party sponsored training events. 

4.1.5    Elamant Support Center Basic includes access to an online ticket management system Monday – Friday, 9am to 5pm SAST. 

4.1.6    Basic Members may upgrade to a Standard or Premium membership mid-cycle.  

4.1.7    Basic membership does not contribute any count to the Consultant program genealogy. 

 

4.2    Standard Member

Our Standard membership is for customers who have subscribed to the standard level of Elamant Membership and paid the full $69.95 subscription fee, and is best suited for Career Professionals seeking Advancement.  These benefits include: 

4.2.1    Learning Center Standard which includes access to our library of over 10,000 industry leading hard skills courses, and limited access to industry leading soft skills courses. 

4.2.2    Elamant Crypto Wallet Standard includes exclusive access to reduced fee crypto wallet. This wallet can store, transfer to internal Elamant Crypto wallet users for less fees than Blockchain, external account deposits, wire transfer withdrawals, send crypto to friend or family member’s email; exchange between BTC, ETH, USDC, EUR, and USD. 

4.2.3    Elamant Paycard (plus $49.95 enrollment and delivery fee) includes access to the international Elamant debit card for members and their family (subject to geographic availability). 

4.2.4    Elamant Travel Portal includes exclusive access to concierge travel and benefits portal. 

4.2.5    Discounted Training Events includes discounted access to Elamant and/or third party sponsored training events. 

4.2.6    Elamant Support Center Standard includes 24/7 access to online ticket management system. 

4.2.7    Standard Members may upgrade to a Premium membership mid-cycle but may not downgrade to a Basic membership mid-cycle. 

4.2.8    Standard membership will contribute half a count (.5) to the Consultant program genealogy. 

 

4.3    Premium Member

Our Premium membership is for customers who have subscribed to the highest level of Elamant Membership and paid the full $99.95 subscription fee, and is best suited for Entrepreneurs, Small Business Owners, and Career Professionals seeking Advancement.  These benefits include: 

4.3.1    Access to our Business Learning Center which includes unlimited access to more than 75,000 exclusive industry standard hard skills courses including individualized learning plans and instructor led training; unlimited access to industry leading soft skills courses and pre and post-assessments, and daily podcasts.

4.3.2    Our Soft Skills Trainer Certification Pathway includes access to gain Certification as an independent Soft Skills Trainer. 

4.3.3    Elamant Consultant Program includes exclusive access to Elamant Earn-as-you-Learn independent consultant program earning from $20/hr to $250/hr.  

4.3.4    Elamant Consultant Certification Pathway is a pre-requisite to participation in the Elamant Consultant Program and includes access to CPE credits for ongoing certification.

4.3.5    Elamant Founders Commission allows our Premium members to earn an instant commission bonus of $33 per Premium member directly sponsored for every active membership cycle, up to a total of 3 members or $99 USD. 

4.3.6    Elamant Crypto Wallet includes exclusive access to the best rates and fees when transferring crypto from member-to-member. This wallet can store, transfer to internal Elamant Crypto wallet users for less fees than Blockchain, external account deposits, wire transfer withdrawals, send crypto to friend or family member’s email; exchange between BTC, ETH, USDC, EUR, and USD. 

4.3.7    Elamant Paycard (plus $29.95 enrollment and delivery fee) includes access to the international Elamant debit card for members and their family (subject to geographic availability). 

4.3.8    Elamant Travel Portal includes exclusive access to concierge travel and benefits portal. 

4.3.9    Elamant VIP Mastermind Coaching includes exclusive access to regular live and online group VIP coaching. 

4.3.10   Elamant VIP Support Center includes access to pre-scheduled one-on-one support center resources and online 24/7 ticket management system.  

4.3.11   Discounted VIP Training and Red Carpet Corporate Events includes discounted access to Elamant and/or third party sponsored VIP events. 

4.3.12   Elamant Business Center Backoffice Toolkit includes access to training, marketing, and business resources provided to help grow your business. 

4.3.13   Elamant VIP Pilot Program includes exclusive access to testing new product releases and contribution to new and existing product enhancements. 

4.3.14   Premium Members may not downgrade to a Basic or Standard membership mid-cycle. 

4.3.15   Premium membership will be treated as a contribution of one (1) full count (1) to the Consultant program genealogy. 

 

5.0   MEMBERSHIP STATUS 

As a Member, the account will enter one or more of the following membership statuses: ActiveInactiveSuspended, or Terminated. The privileges and consequences applicable to each membership status level are generally described below:

 

5.1     Active

An ”Active” membership subscription entitles the Member to individual rights, privileges, and benefits of an ”Active” membership. A member may become ”Active” by: 

      • Enrolling directly as a Member with a BTC or Credit/Debit payment option 
      • Renewing the Membership with BTC or Credit/Debit card, or 
      • Enrolling or renewing with a Premium Code (P-Code)

  

5.2    Inactive

An “Inactive” membership status is attributed to a Member who does not currently maintain an “Active” membership subscription. A Member may only remain “Inactive” for up to 60 consecutive days before entering into “Terminated” membership status. If an “Inactive” Member renews his or her membership subscription, the membership subscription will change to “Active” status. The Elamant system will calculate any days of inactivity and will include them in the activation cycle.  

For example: If a Member goes inactive on January 1st and does not renew the account until January 10th, the Member will only be active for the remaining 18 days until the renewal becomes due on the original renewal date of January 28th. 

Inactive members are not entitled to any rights, privileges, or benefits of “Active” membership.  

  

5.3    Suspended

A “Suspended” membership status applies to a Member who has had his or her account access temporarily revoked. A Member may enter this status from the Company Compliance Enforcement Team while an investigation is ongoing. ”Suspended” Member is instantly marked “Inactive” and loses all access to the Elamant Portal and membership benefits until the investigation is complete. “Suspended” status usually only lasts a few days but (in most cases) no more than two (2) weeks until a decision is made by the Compliance Enforcement Team. 

  

5.4    Terminated (Inactive)

A “Terminated (Inactive)” status is a member who remains “Inactive” for more than 60 consecutive days.  On the 61st day of consecutive inactive status, the Member will enter “Terminated” status. Each Terminated Member will be removed from the membership database and will no longer have any right to access or renew their membership in the Elamant Portal. All account wallet values will be cleared, and all personal information will be permanently removed from the system. If a “Terminated” Member wishes to reactivate their account, they must enroll again as a new Member. 

 

5.5    Terminated (Compliance)

A “Terminated (Compliance)” status is a member who has been barred from the system due to a determined Compliance violation. All account values will be cleared, and all personal information will be permanently removed from the system.  Members who have been “Terminated” by the Company Compliance Enforcement Teat will no longer have any right to access or renew their membership in the Elamant Portal. They will also not be allowed or welcome to register or enroll agaias new members in the future.   

  

6.0   REFUND POLICY 

A first-time Elamant Member may cancel his or her membership for ANY reason within 72 hours (3 days) if membership is paid with a Credit/Debit card and receive a full refund to the Credit/Debit card used to complete the membership purchase.*   

  

*This refund guarantee applies to new membership enrollments paid by credit/debit card only. Once the refund is processed, the system will terminate the membership. There are no refunds if payment is made using Bitcoin (BTC) or other forms of cryptocurrency. There are also no refunds or exchanges on Elamant Premium Codes. All bulk order sales of Premium Codes paid to the Company are final with no refunds or exchanges. 

 

 7.0   MEMBER CODE OF CONDUCT 

When speaking of the Company, enrolling new Membersand dealing with current or potential Elamant Members, all Members are expected to exercise due care and diligence to represent themselves and Elamant in full compliance with the Company brand, image, and Policies and Procedures. Above all, a Member should never lie or misrepresent themself, his/her, their role, or Elamant and its programs to the public or potential Members. When undertaking any of these activities, all Members must ensure that they adhere to the following: 

  

7.1    All Members are independent representatives of the Company, which does not create an employer/employee relationship, agency, partnership, or joint venture between the Company and the Members. Each Member shall hold harmless the Company from any claims, damages, and liabilities arising out of Member’s business practices. Members have no authority to bind the company to any obligation. All actions conducted by Members are in the capacity of an independent third party. 

7.2    In the conduct of its business, the Member shall safeguard and promote the reputation of the services of the Company and shall refrain from engaging in any conduct which might be harmful to such reputation of the Company or the marketing of such services or inconsistent with the public interest, and shall avoid all discourteous, deceptive, misleading, unethical and immoral conduct and practices. A Member shall not interfere with, harass, or undermine other Members and, at all times, shall respect the privacy of other Members. A Member must not disparage the Company, its affiliated entities, other Company Members, Company products and/or services, the marketing, compensation and reward plans, or Company employees. 

 7.3    All Members are responsible for paying applicable local, state, and national taxes on bonuses, rewards, rebates, and any other earnings generated as a result of Company memberships, products, and services. All Members are responsible for abiding by their home country’s local, state, and national laws and regulations. 

7.4    Members shall not advertise Company products and services and/or marketing plans except as specifically approved by the Company. Members agree to make no false or fraudulent representations about the Company, the products, the Company compensation plan, or income potentials. 

7.5    The Company maintains official corporate websites, social media pages, online groups and forums (such as, but not limited to, Facebook Groups), and smartphone applications (collectively the “Elamant Portal”). No Member may independently design or establish a website, social media page/group, app, or other portal or service of any type whatsoever that uses the names, logos, product or service descriptions of the Company, nor may a Member use “blind” ads on the Internet making product or income claims which are ultimately associated with Company products, services, or the Company’s compensation plan without prior written Company approval. However, Members may participate in social networking over the Internet to promote the Company’s products and rewards, in full accordance with Company Policies and Procedures. Any person using Company names, logos, trademarks, etc., on the Internet or any other advertising medium, except as expressly permitted by Company Policies and Procedures, shall be subject to immediate discipline, including but not limited to termination of Member status. 

7.6    The Company reserves the right to approve or disapprove Member’s change of name, business name, or organizational form associated with the Member’s registration. If the Company approves such a change by the Member, the organization’s name, and the organization’s principals’ names must appear on the Member application/agreement along with a national identification number of each. Members are prohibited from making changes to circumvent or violate Company Polices and Procedures on raiding, solicitation, targeting, cross-sponsoring, or interference. 

 7.7    If a Member fails to maintain the recurring 28-day payment for membership, the membership will assume Inactive status and lose certain rights, privileges, and other accrued benefits. If a Member remains Inactive for 60 days, the membership will enter Terminated status, and all rights to bonuses, member benefits, and access to Membership Portal will be deemed forfeited and shall permanently cease. 

7.8    The Company shall be entitled to change service prices and the bonus plan or reward program at any time and without notice, and to make changes effective as needed for publication on the Company website. 

7.9    Periodically, the Company will supply data processing information and reports to the Member, which will provide information concerning the Member’s referrals. The Member agrees that such information is proprietary and confidential to the Company and is transmitted to the Member in confidence. The Member agrees that he or she will not disclose such information to any third party (directly or indirectly), nor use the information to compete with the Company directly or indirectly during or after the term of the membership. 

7.10   The Company expressly reserves the right to alter or amend prices, fees, the Terms of Use, the Policies and Procedures, Member benefits and terms, reward programs, compensation plans, or any other rules or regulations set by the Company at any time, in its sole and absolute discretion. 

7.11   Members may not advertise any Elamant products/services at a price LESS than the highest Company published, established retail price of ONE offering of the Elamant product or service. No special enticement advertising is allowed. This includes, but is not limited to, offers of free memberships or other offers that grant advantage beyond those available through the Company. Members or Consultants found to violate this policy may be terminated immediately without review.  

7.12   The acceptance of these terms and Policies and Procedures does not constitute the sale of a franchise, and no exclusive territories will be granted to anyone. No franchise fees have been paid, nor will any Member acquire any interest in a security by accepting these terms and Policies and Procedures. 

7.13   Members shall maintain the highest standards of business practices when discussing or marketing Elamant. Members shall refrain from engaging in unethical business practices, violating standards of fair dealing, engaging in cross-team recruiting or other unfair or unethical business practices, or generally engaging in any activities that would likely damage the Company’s brand (in its sole discretion). 

7.14   Members may not make claims or warranties of any kind, including, but not limited to, any claims for earnings or services, other than those included in Company written literature. 

7.15   Sending SPAM, also known as Unsolicited Commercial Email (UCE), is prohibited by the Company. Any use of SPAM, fax broadcasting, automated messaging, or automated telemarketing by phone in connection with the Company’s business may result in suspension, a fine, or termination of membership. 

 

7.16   Feedback and Reviews 

Elamant welcomes any ideas and/or suggestions regarding improvements or additions to the Portal. Under no circumstances shall any disclosure of any idea, suggestion or related material or any review of the Elamant services, Third Party Services or any Third Party Provider (collectively, “Feedback”) to Elamant be subject to any obligation of confidentiality or expectation of compensation. By submitting Feedback to Elamant (whether submitted directly to Elamant or posted on any Elamant hosted forum or page), you waive any and all rights in the Feedback and that Elamant is free to implement and use the Feedback if desired, as provided by you or as modified by Elamant, without obtaining permission or license from you or from any third party. Any reviews of a Third Party Service or Third Party Provider that you submit to Elamant must be accurate to the best of your knowledge, and must not be illegal, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights, or otherwise injurious to third parties or objectionable. Elamant reserves the right (but not the obligation) to remove or edit Feedback of Third Party Services or Third Party Providers. 

 

7.17   All Elamant Members agree to: 

          • Provide information, support, and training to all Members personally sponsored. 
          • Study the Company literature and learn to represent the Company and services of the Company honestly and sincerely. 
          • Help other Members directly connect with top leaders and Consultants. 
          • Be professional, courteous, and considerate. 
          • Not misrepresent the Consultant Compensation or any other Elamant program. 
          • Become familiar with and abide by other materials as provided by the Company. 
          • Not treat access to the membership as a business opportunity, investment, or other vehicle for financial gain, nor create a network of referrals through techniques such as “stacking,” creating fake entities, submitting fake or inaccurate data, or any other such activity – undertaken individually or in concert with others – contrary to the Company purpose and its Policies and Procedures. 

 

8.0   TRADEMARKS, TRADE NAMES, ADVERTISING 

The Company’s name and other names as may be adopted by the Company are proprietary trade names and trademarks of the Company. As such, these marks are of great value to the Company and are supplied to the Member for Member’s use only in an expressly authorized manner.  

8.1    Member agrees not to advertise the Company products or services in any way other than the advertising or promotional materials made available to Member by the Company. Member agrees not to use any written, printed, recorded, digital or any other material in advertising, promoting or describing the products or services or the Company marketing program, or in any other manner, any material which has not been copyrighted and supplied by the Company, unless such material has been submitted to the Company and approved in writing by the Company before being disseminated, published or displayed. 

8.2    The Member, as an independent third party, is fully responsible for all of his/her verbal and written statements made regarding the product or service and marketing program, which are not expressly contained in writing in the current Member Agreement, and advertising or promotional materials supplied directly by the CompanyMember agrees to indemnify the Company and to hold the Company harmless from any and all liability including judgments, civil penalties, refunds, attorney fees, court costs, and lost business incurred by the Company due to Member’s unauthorized representations. 

8.3    All Company materials, whether printed, on film, produced by sound recording, in digital media format or on the Internet, and social media of any type, are copyrighted and may not be reproduced, in whole or in part, by Members or any other person except as authorized by the Company in writing. 

8.4    A Member may not produce, use, or distribute any information relative to the contents, characteristics, or properties of the Company products or services which have not been provided directly by the Company. This prohibition includes, but is not limited to, all print, audio, video, or other digital media. 

8.5     All advertising copy, direct mailing, email, radio, TV, newspaper, and display copy via the Internet must be approved in writing by the Company before being disseminated, published, or displayed except for blind ads where no reference is made to the Company name or product name. 

8.6    Members may not register or claim ownership in and of any trademarks, logo, or any other intellectual property of the Company in any jurisdiction in the world. 

 

9.0   INDIVIDUAL AND ENTITY OWNERSHIP INFORMATION 

Membership accounts may only be owned and held by individuals, not corporations or other entities, without the Company’s express written approval. An individual shall provide the Company with a National Identification Number and other documents as required by the Company to verify identity through the KYC process ordained by the Company. No individual operating under a fictitious name may become a Company Member. If any entity other than an individual wishes to become a Member, the individual(s) controlling the partnership, corporation, or other business entity is required to fulfill the same requirements as all individuals under these Policies and Procedures. 

 

10.   DISCIPLINARY ACTIONS, TERMINATION, AND APPEALS 

 

10.1   Disciplinary Actions 

Elamant generally reserves the right to terminate any Member’s account for any reason and without notice. However, Elamant may in its sole discretion choose to take any of the following disciplinary actions regarding a Member’s violation of these Policies and Procedures, the Terms of Use, or any other rules, agreements, or policies put in place by Elamant: 

a.    Issuance of a written warning or admonition. 

b.   The imposition of a fine, which may be imposed immediately or withheld from future bonuses, rewards, rebates, or other vehicles as deemed available by the Company. 

c.    Loss of benefits related to Member referrals and compensation or removal from the Consultant Program. 

d.    Suspension, which may result in termination or reinstatement with conditions or restrictions. 

e.   Termination of Membership. 

  

10.2  Termination Procedure & Appeals 

When a decision is made to terminate a Member, the Company will inform the Member that the Member is terminated immediately, effective as of the notification date. The Member will have 15 days from the date of notification to appeal the termination in writing to compliance@elamant.com, and therein provide a written response to the finding of violations of the Company Agreement, Policies and Procedures, and/or rules. If the appeal is not received within 15 days, the termination will be deemed waived and released and automatically be deemed final. 

If a Member files a timely appeal of termination, the Company will review and reconsider the termination, consider any other appropriate action, and notify the Member of its decision. The decision of the Company will be final and subject to no further review. If the termination is not rescinded, the termination will be effective as of the date of the Company’s original termination notice. 

Once a preliminary decision to terminate a Member’s account has been made, the Member in question shall thereafter be prohibited from using the names, marks and signs, labels, stationery, advertising, or business material referring to or relating to any and all Company products or services. The terminated Member shall not represent themselves as an Elamant Member. During the pendency of any appeal, the Member must not take any action to violate this or any other provision of the Members’ Policies & Procedures or the Terms of Use, or the pending appeal will be deemed waived and released and automatically be terminated.  

  

11.0  ELAMANT PILOT PROGRAM 

From time to time, Elamant may, in its sole discretion, invite you to use, on a trial basis, pre-release or beta features that are in development and not yet available to all Members (“Beta Services”). Beta Services may be subject to additional terms and conditions, which Elamant will provide to you prior to your use of the Beta Services. Such Beta Services and all associated conversations and materials relating thereto will be considered Elamant Confidential Information and subject to the confidentiality provisions in this agreement and Terms of Use. Without limiting the generality of the foregoing, you agree that you will not make any public statements or otherwise disclose your participation in the Beta Services without Elamant’s prior written consent. ELAMANT makes no representations or warranties that the Beta Services will function. Elamant may discontinue the Beta Services at any time in its sole discretion. Elamant will have no liability for any harm or damage arising out of or in connection with a Beta Service. The Beta Services may not work in the same way as a final version. ELAMANT may change or not release a final or commercial version of a Beta Service in our sole discretion. 

 

12.0  FOUNDER AND CONSULTANT PROGRAM 

Elamant has adopted a unique and innovative 2-part Compensation Program. This program enables Premium Members to earn a direct commission for referring up to 3 Members, and earn hourly compensation for the services they provide for the Company. The Elamant compensation program comprises two separate parts: (1) the Founder Program, and (2) the Consultant Program. 

 

12.1   Founder Program 

Premium Members may be rewarded with a direct sales commission by the Company by personally sponsoring individuals to join Elamant as a Premium Member 

 

How to Qualify for Founder: 

        • Must be an Active Premium Member 
        • Must personally sponsor at least one (1) other Premium Member 

Once qualified, the qualified Member will receive an instant direct sales commission of $33 USD paid to the Pending section of the EWallet. The commission will be released from ‘Pending’ status after 2 weeks from the initial day of sponsorship. The qualifieMember may earn a direct sales commission for up to 3 directly sponsored members totaling $99 USD maximum ($33 each) per membership cycle. A Founder may choose to enroll more Premium Members, but will only earn direct sales commission for up to three (3) Active Premium Members at one time.  

 A Founder may continue to earn a recurring commission every cycle that their direct Premium Member (or Members) stay active.   

  

12.2   Consultant Program 

One of the key goals of Elamant is to provide our Members with the opportunity for professional growth and development. This has the benefit of turning our Members into a skilled pool of professionals and allows Elamant to run as a distributed company, like many new firms in the “gig” economy (Gig workers are independent contractors, online portal workers, contract firm workers, on-call workers, and temporary workers. Gig workers enter into formal agreements with on-demand companies to provide services to the company’s clients). As the Elamant network grows, there is opportunity for Members to become Consultants and directly provide essential services and support to Elamant Members and Elamant directly. 

As Elamant Consultants take on more responsibility, sponsor more Members, and see their team grow, they qualify for different Service Levels of engagement as Consultants. The Service Level determines both the hourly rate Elamant will pay the Consultant for work performance and the total volume of work eligible to the Consultant for assignment (i.e. hours per week). 

  

Note: Learn more about each Service Level’s compensation structure, as well as the applicable qualification requirements, below under “Consultant Service Levels.” 

  

As a Consultant, a variety of tasks and obligations can be assigned. Some examples of the type of work assigned to Consultants include: 

  

        • Training. Elamant tasks its Consultants with ensuring that Elamant Members fully understand Elamant’s programs, systems, interface, and rules. This could include training new Members on correctly navigating the Elamant Learning system and showing them how to start their pre-assessment to ensure they have courses that fit their current skill level and learning needs. Consultants at higher Service Levels, or who have received additional specialized training, may also train other Consultants in their duties. 
        • Customer and Member Support. Rather than maintain a large customer support staff, Elamant Consultants act as the primary support for Members with questions, concerns, or issues relating to their Elamant Membership. 
        • Continuous Education. By completing leadership and professional development training courses through our Business Center, Consultant may be able to claim these hours for CPE credits and ongoing Consultant certification.  
        • Translation and local language supportElamant has Members worldwide, and we rely on our local Consultants to help with everything from translating Company materials and documents to providing customer support to non-English speakers. 

  

12.3   Additional Duties and Obligations at Increased Service Level 

 

Elamant Opportunity Exclusivity 

As part of Consultant duties, beginning as a Manager-level Consultant, you will routinely interact with and support the Elamant Members on your team. You will also take on greater responsibility, with more members to support and a higher expectation of your knowledge and ability to teach your team.  This gives you the opportunity to learn and demonstrate the leadership skills we aim to cultivate. In doing so, you will form a bond of trust with your team members. While this is a crucial relationship to build, the global distribution of Elamant Members and Consultants creates certain risks we must address. We must ensure that high-level Consultants do not abuse this bond of trust and that they make the appropriate time commitments to their duties. 

  

For these reasons, beginning at the level of Manager-level Consultant, you must agree not to engage in any kind of promotion or solicitation on behalf of any network marketing business or otherwise support or work on behalf of the same. This means that you cannot promote or receive any type of compensation whatsoever – whether directly or on your behalf – from any business which provides compensation based, in whole or part, directly or by secondary reference, upon sales, referrals, recruitment, promotion, or other such activity. 

  

As a reminder, NO Consultant should be promoting other such opportunities to Elamant Members, regardless of his or her service level. 

  

Ex.1: Consultant A works for an auto dealer and sells cars based upon commission. Consultant A can be eligible for the Manager level.  

Ex.2: Consultant B works for an auto dealer and recruits or hires a team to sell cars. Consultant B makes money based on the commissions of his team or recruits. Consultant B is not eligible for the Manager level. 

 

13.0   CHANGE REQUESTS 

 

13.1   Change of Sponsor 

From the 24th May 2021, active Legacy Members may initiate a change of sponsor request for any inactive or terminated sponsors on their Elamant account within 24 hours of the time of membership renewal.  A Legacy Member is limited to one (1) change of sponsor request.  

From the 24th May 2021, active NEW Members may initiate a change of sponsor request within 24 hours of the NEW Member initial enrollment date.  A NEW Member is limited to one (1) change of sponsor request.  

 

13.2   Changes to or Transfers of Consultant Positions 

Members may request a change of ownership information on their Elamant account, subject to Elamant’s approval, which shall be produced at the sole discretion of Elamant. Commonly approved reasons include transferring an account to a decedent, undergoing a change in business type, or other administrative needs. Elamant reserves the right to approve or disapprove any and all transfers of Member accounts, positions, and benefits, but will generally do so if there is no risk of fraud or harmor if the request is merely to correct an administrative error.  All such transfers will be contingent upon and subject to the Company’s receipt of a signed waiver of liability from the former Member. 

However, if an account change or transfer is approved, Consultant Levels associated with a Member’s account do NOT automatically transfer to the new Member. Consultants’ compensation rates at each level reflect that Consultant’s skills, time spent, and value to the CompanyFor this reason, we do not generally permit the transfer – through a sale or otherwise – of Elamant Consultant positions. 

Under certain circumstances, Elamant may make exceptions for such transfers or substitutions for Consultant Levels and positions. For example, if you’ve built a business with an Elamant component and you are getting ready to retire, then you may wish to sell your business or transfer it to your heirs. Subject to our due diligence, including proof of a bona fide sale or transfer of a whole business, we may be willing to approve an attendant transfer of the associated Consultant Service Level and position to the new owner. Factors we may assess in deciding whether to permit a transfer may include, but not be limited to, the following: 

          • Demonstration of the qualifications and capabilities of the proposed transferee for the relevant Consultant Service Level. 
          • Harm or impact on the transferor. 
          • The legal or commercial risk to Elamant. 
          • Evidence of a bona fide business sale; for example, the concurrent sale of other assets or rights by the transferor at the same time as the proposed Consultant position transfer. 

If a requested transfer is approved, you will be charged a service and processing fee by the Company to cover the costs of our own due diligence and other related items. The fee charged will depend upon the risk and complexity of the transfer to Elamant and will be determined and disclosed to you prior to any approval for a transfer. 

Ultimately, although your Service Level is a reward for your work and achievements as an independent third party with Elamant, being an Elamant Consultant is a privilege, not a right or an asset. You should never rely upon an anticipated sale of your position. 

 

14.0  SUBMITTING HOURS & REDEEMING PAYMENTS 

 

14.1   Tracking & Submitting Service Hours 

Consultants are only paid for the actual hours they work as independent third parties for Elamant. You must carefully track your time down to increments of one hour. In your time log, each time entry should be followed by a summary description of your activities at that time. As an Elamant Consultant, you have broad latitude in determining what, when, and how you work and are even encouraged to source and develop your hours. As a consequence, we need to be able to prevent fraud or misbehavior by Consultants remotely. This means that your log should have sufficient details on your activities during each period to allow us to verify you did the work. Consultants may be required to submit their complete-time logs, as well as answer questions or provide other supporting evidence of work performed. 

Consultants must submit their time entries through the Elamant interface each week. The information in the comments submitted for each time ticket should correlate to the log details. Once all time entries have been submitted from the ‘performance period’, the entries will show as “pending” until they are either denied or approved by Elamant (see Approval Process, below).  

  

14.2   Approval Process 

To ensure that Consultants are consistently doing valid and quality work, time entry submission will be reviewed each time before being approved for payment. Elamant reserves the right to reject any time submission. Reasons a time submissions may be rejected include, but may not be limited to, the following: 

        • Incomplete submissions. For example, failure to provide sufficient details in the comment to a time ticket, or failure to include Member ID for whom services were provided, could result in time entry denial. 
        • Indication of fraud. Work must have been performed to the satisfaction of the approval process to qualify for payment. Submitting a short, effortless description without detail, spamming (copying) the same response over and over for each entry, or any other unclear, fraudulent or misrepresentation of activity as determined by the Company may also result in declining the entire week of submitted hours. 
        • Late submissions. Failure to upload a time ticket within the ‘Performance Period’ (See Elamant Company Definitions and Terms) may result in time entries being denied. 
        • Sale, Marketing, Recruiting, or Advertising. Service hours submitted for approval that includes time spent selling memberships and recruiting new Members (other than new Merchants or Travel customers) will not be approved. 

Elamant reserves the right to audit, investigate, and question any hours that have been submitted for approval. In addition to denial of the time entry tickets, severe or repeat cases may be referred to our Compliance Department for further action, including, but not limited to Removal from Consultant Program, Membership Suspension, Termination, and/or a fine.  

 If you believe one of your time tickets was denied incorrectly, you may appeal the decision through the normal Company appeals process by first sending an email to compliance@elamant.comBe sure to include any evidence or explanation supporting your appeal at the time you send the email. Your submission may be independently reviewed through secondary validation processes, along with any supporting evidence or documentation you provide in your email regarding the validity of your time submission. Evidence might include specific work products, travel receipts to an event, additional details regarding your activities, or an explanation of the second reviewer’s discrepancies.  

  

15.0  LEGACY WALLET 

This is a courtesy account for legacy customers which will contain membership extension credits, legacy EWallet credits (monetized and non-monetized), legacy data pointslegacy renewal points, and legacy bonus points for utilization on legacy wallet milestone promotions (e.g. loyalty bonus, rank up bonus, fast start bonus, learning and development bonus). The funds in this account are non-transferable to any other member account and can only be withdrawn in accordance with legacy wallet milestone promotion terms and conditions as issued by the Company from time to time.  

  

16.0  EWALLET 

This is the account to which all approved hourly service fees, Founders commissions, and other bonuses are deposited. The funds in this account are non-transferable to any other member account directly, but funds in the EWallet may be withdrawn weekly to the Elamant Crypto Wallet or Elamant Paycard*This account is made up of two (2) parts: (1) the “Approved” status, and (2) the “Pending” status.  

 

16.1   Pending Consultant Fees 

Hours submitted from the “Time Report” during the Performance Period (Sunday – Saturday) will enter “Pending status for 1 week every Sunday at 00:00 (12 am) Server Time. All funds in this status, if approved, will be placed into the main EWallet for immediate use. 

 

16.2   Pending Founders Commission  

Funds that are deposited from the Founders commission will be in “Pending” status for 2 weeks from the date that the commission was earned. All funds in this status, if approved, will be placed into the main EWallet for immediate use. 

 

The total of all pending amounts, deposits, and withdrawals will be visible to each Consultant and Founder in the dashboard of the Elamant Portal 

 

IMPORTANT NOTICE: There are important restrictions and limitations on any EWallet withdrawals, including restrictions on Elamant Crypto and Elamant Paycard* withdrawals. To comply with the know-your-customer (“KYC”) and other legal requirements, Consultants WILL be required to submit personal information, such as government identification, local tax (VAT) information, or other documents to verify identity before being eligible for any withdrawal. Members should review the Independent Contractor Agreement carefully to understand what is required BEFORE seeking to become a Consultant. 

 

*The Elamant Paycard is not currently an active withdrawal option as of the time of this publication: Policies and Procedures v5.0 dated Many 10th 2021. 

  

The EWallet account holder may request to withdraw into their Elamant Crypto Wallet at any time, however, the payout will be processed every Monday. For more information on Crypto withdrawals, see the section “Terms & Conditions for Crypto Withdrawals” . 

 

17.0  ELAMANT CRYPTO WALLET 

 

17.1   Terms & Conditions for Crypto Withdrawals 

To be “Qualified” for a Crypto Withdrawal, a Member or Consultant must meet or abide by the following terms and conditions. All crypto payments will be made in USD-C, the world’s leading digital dollar stable coin. You can find more information about this by visiting their website https://www.circle.com/en/usdc 

        • Member must be an ACTIVE Premium Member – If a withdrawal request is pending or if the membership goes inactive, is terminated, or is suspended before the day of processing, the transaction will be canceled and funds credited back to the members’ EWallet 
        • A withdrawal request may be submitted at any time, but payout processing occurs every Monday. The Crypto withdrawal request will be processed by 5pm USA (Central Standard Time / GMT -6) on Monday of every week. 
        • There may only be 1 withdrawal request submitted at a time. 
        • The minimum withdrawal amount for a Crypto withdrawal request is $20.00 USD in increments of $20.00 USD. For example, if there is $327.00 USD in the EWallet, you may only be eligible to request $320.00 USD for withdrawal.  
        • A transaction fee of $5.00 USD will apply to each withdrawal.  
        • An additional 2% service and processing fee will apply for each withdrawal.  
        • The Member MUST have correctly completed and passed KYC validation before the Crypto withdrawal request is processed.  
        • The maximum withdrawal amount per week allotted depends on the qualified service level of the Member or Consultant. (Please see “Weekly Withdrawal Limits By Service Level” below for more information.) 

 

18.0  WITHDRAWAL LIMITS BY SERVICE LEVEL 

Any Premium Member, Founder, or Consultant may process a withdrawal request up to the amount listed below every week. 

 

        • A Basic or Standard Member is not eligible for withdrawals 
        • Premium Member and Founder withdrawal limit is $20 USD per week 
        • Consultant withdrawal limit is $100 USD per week 
        • Senior Consultant withdrawal limit is $125 USD per week 
        • Executive Consultant withdrawal limit is $250 USD per week 
        • Manager withdrawal limit is $625 USD per week 
        • Senior Manager withdrawal limit is $1,000 USD per week 
        • Executive Manager withdrawal limit is $1,250 USD per week 
        • Director withdrawal limit is $1,500 USD per week 
        • Senior Director withdrawal limit is $2,000 USD per week 
        • Executive Director withdrawal limit is $2,500 USD per week 
        • Wood to Water Executives can withdraw up to $6,250 USD per week 
        • Elamant Executives can withdraw up to $25,000 USD per week

19.0  CONSULTANT SERVICE LEVELS 

By training, educating, and supporting the growing network of Elamant Members, Consultants may qualify to receive hourly compensation. With our Exclusive Consultant Program, Consultants are paid for the services they provide as independent third parties for the Company and compensated at an hourly rate.  

The estimated weekly and yearly incomes provided below are based upon the assumption that the Consultant completes and submits the maximum number of hours per week, and all work submitted is valid and accepted via the Company’s approval process. Consultants are ultimately responsible for their work, hours, and earnings. Elamant makes no guarantee that a Consultant will be able to accrue enough good work hours to achieve the listed estimated incomes, or any income whatsoever.
